Terms and Conditions
The following are the terms and conditions that will govern the relationship between the Ashworth Marketing Ltd (Company number 07430906), trading through mrdannyjohnson.co.uk, and its clients in the UK and internationally. Please note that these terms and conditions are subject to change without prior notice.
Scope of Work
Ashworth Marketing Ltd will provide web development and software development services to the client as per the agreed specifications and requirements.
Payment Terms
The client will pay Ashworth Marketing Ltd for the services provided, as per the agreed payment terms. The payment terms will be clearly defined in the project proposal and the client will be required to make payment on the agreed dates. In case of delayed payment, the web developer may charge a penalty fee, plus interest in accordance with UK law.
Intellectual Property Rights
All intellectual property rights arising from the services provided by Ashworth Marketing Ltd will belong to the client upon payment. Ashworth Marketing Ltd will not retain any right to use or claim ownership of the intellectual property.
Confidentiality
Ashworth Marketing Ltd will keep all information and data shared by the client confidential and will not disclose it to any third party without prior written consent from the client.
Warranties
Ashworth Marketing Ltd warrants that all services provided will be performed with reasonable skill and care and in compliance with all applicable laws, regulations, and standards.
Limitation of Liability
Ashworth Marketing Ltd shall not be liable for any indirect or consequential loss or damage, including but not limited to loss of profits, loss of business, or loss of data. The total liability of Ashworth Marketing Ltd for any claim arising out of the services provided shall not exceed the total amount paid by the client to the web developer.
Termination
Either party may terminate the agreement by giving written notice to the other party. The client will be required to pay for all services provided up to the date of termination.
Dispute Resolution
Any disputes arising from the agreement will be resolved by negotiation between the parties. If the dispute cannot be resolved, the parties may resort to mediation or arbitration. The laws of England and Wales will govern the agreement.
Force Majeure
Ashworth Marketing Ltd shall not be liable for any failure to perform any obligation under the agreement due to causes beyond its reasonable control, including but not limited to acts of God, acts of government, natural disasters, or any other cause beyond its control.
Entire Agreement
This agreement contains the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral.
By engaging the services of Ashworth Marketing Ltd, the client agrees to be bound by these terms and conditions.
